Missed New York LLC Publication Deadline — What to Do
New York requires every new LLC to publish formation notices in two newspapers (one daily, one weekly) for six consecutive weeks within 120 days of formation. If you missed this deadline, your LLC's authority to do business may be suspended.

What the Publication Requirement Is
Under NY LLC Law Section 206:
- Publish notice of formation in 2 newspapers designated by the county clerk
- Publication must run for 6 consecutive weeks
- File an Affidavit/Certificate of Publication with the Department of State after completion
- Filing fee: $50 for the Certificate of Publication
- Newspaper costs: $300-$1,500+ (depending on county — Manhattan is most expensive)
What Happens If You Miss the 120-Day Window
Your LLC is NOT dissolved. The LLC continues to exist as a legal entity. However:
- Authority to conduct business is suspended — you technically cannot enter into contracts or file lawsuits in NY courts
- Liability protection may still apply — courts have generally held that the suspension does not eliminate liability protection
- You can still be sued — suspension does not protect you from being a defendant
- Contract enforcement issues — you may be unable to enforce contracts in NY courts until publication is completed

- Request newspaper designations from the county clerk in your county of formation

Common Questions
Has anyone's LLC actually been dissolved for not publishing?
No. The penalty is suspension of authority (inability to sue in NY courts), not dissolution. Many LLCs operate for years without publishing — but this creates legal risk.
Can I enforce contracts if I have not published?
Courts are split, but the majority view is that you cannot maintain a lawsuit in NY courts until publication is completed. You CAN complete publication and then file suit — it does not need to have been done within 120 days.
What if my LLC is from a cheap county but I operate in NYC?
You publish in the county where your LLC was formed (as stated in your Articles of Organization). If you form in Albany County but operate in Manhattan, you publish in Albany County.
