Reinstating a Dissolved or Suspended New York LLC

Types of LLC Issues in New York

Publication suspension: LLC did not complete publication within 120 days. Fix: complete publication now and file Certificate of Publication (DOS-1337, $50). Suspension lifts immediately upon filing.

Administrative dissolution (DOS): LLC failed to file Biennial Statements or respond to DOS notices. Fix: may require court petition under LLC Law Section 705.

Tax Department issues: Outstanding IT-204-LL fees or tax delinquencies. Fix: file all delinquent returns, pay all owed taxes/fees/penalties, obtain tax clearance.

  1. Contact the county clerk for your county's designated newspapers
  2. Arrange publication (one daily, one weekly, 6 consecutive weeks)
  3. Obtain affidavits from newspapers
  4. File Certificate of Publication (DOS-1337) with DOS ($50)
  5. Suspension lifts upon filing

There is no deadline for curing publication suspension. You can complete it months or years late — there is no penalty beyond the suspension itself.

Can I sue while my LLC is suspended for non-publication?

No. Under LLC Law Section 206, a suspended LLC cannot bring lawsuits in NY courts. However, your LLC can still conduct all other business (sign contracts, earn revenue, hire employees). Only court access is restricted.

How long after dissolution can I reinstate?

It depends on how the LLC was dissolved. Publication suspension can be cured at any time. Administrative dissolution may have time limits depending on the DOS's specific process. Court-ordered reinstatement under Section 705 has more flexibility but requires legal proceedings.

Is reinstatement retroactive?
