A Certificate of Good Standing — called a "Certificate of Existence" in New York — confirms your LLC is active and in compliance with the Department of State. How to Obtain
Online via Business Express:
- Go to https://www.businessexpress.ny.gov/
- Search for your LLC
- Request Certificate of Existence
- Pay $25 fee
- Download electronic certificate (immediate)
By mail: Request in writing to the Division of Corporations with $25 fee. Processing: 1-2 weeks.
What It Confirms
- Your LLC exists as a valid entity under NY law
- Your LLC has not been dissolved or annulled
- Your LLC is current on Biennial Statements with the DOS

When do I need a Certificate of Good Standing?
Most commonly: when registering as a foreign LLC in another state (the other state requires proof of good standing in your home state), applying for business financing, selling the business, or entering government contracts.
What if my LLC has not completed publication — can I still get one?
Yes. The Certificate of Existence from the DOS only confirms the entity exists on DOS records. Publication suspension affects your ability to sue in NY courts but does not affect your standing with the DOS (unless the DOS took separate action).
