New York Agent for Service of Process — Requirements & How It Works

New York's approach to service of process is unique among US states. Under NY LLC Law Section 301, the Secretary of State is automatically and mandatorily designated as the agent for service of process for every domestic LLC. You do not have a choice about this — it happens by law. What you do control is where the DOS forwards documents after receiving them on your behalf. How Service of Process Works in New York

The default (mandatory) system:

  1. Someone files a lawsuit against your LLC
  2. They serve the New York Secretary of State (DOS) instead of you directly
  3. The DOS accepts service and mails a copy to the address you provided in your Articles of Organization
  4. You receive the documents at that forwarding address and must respond within the applicable deadline

The Optional agent for service of process system: Under NY LLC Law Section 301(e), you may ALSO designate an agent for service of process. If you do, process servers can choose to serve either:

  • The Secretary of State (always available)
  • your agent for service of process (if they have a NY address)

Under NY LLC Law Section 301(e):

Requirements:

  • Must have a physical address in New York (no PO boxes)

How to Designate Your Agent

You designate an agent for service of process in your Articles of Organization (DOS-1336) or by filing a later amendment. The Articles include a section for "registered agent" designation, which is optional. If you leave it blank, the DOS is your only agent (which is still valid — it is just slower for notification).

Changing Your Forwarding Address or Agent

To change the DOS forwarding address: File a Certificate of Amendment (Form DOS-1369) or an Address Change form with the DOS. Fee: $60 for amendment, $0 for address change only.

To add, change, or remove a registered agent: File the appropriate amendment with the DOS.

To update the designated registered agent's address: The agent for service of process files a notice with the DOS.

Is the Department of State really my agent even though I did not choose them?

Yes. NY LLC Law Section 301 states: "The secretary of state shall be the agent of every domestic limited liability company and every authorized foreign limited liability company upon whom process against it may be served." This is mandatory. You cannot opt out.

Do I also need an agent for service of process if the DOS is already my agent?

Not required, but recommended. The DOS forwarding process is reliable but slow (regular mail). A professional agent for service of process provides same-day notification, privacy, and an extra layer of reliability.

What if I move and forget to update my DOS forwarding address?

The DOS will mail served process to your last known address. If it is returned undeliverable, the DOS has still validly accepted service on your behalf.
